Definitions

Unless the contacts otherwise require, the following words and expressions shall have the following meanings in these terms of use:

“Attendee” is an end, individual, or an entity who has registered to attend an event 

“Partner” is an individual or an entity who has entered into an event management agreement with Wondr;

“Content” all text, documents, software, scripts, graphics, photos, sounds, music, videos, audio-visual combinations, interactive features, and other materials, that attendees and partners may view, access through, or contribute to the Service;

“SABER CONSULTING PTE. LTD” is an event management company that is located at their registered address, Singapore with company registration number 202420234K and for the purpose of this agreement referred to as “Saber Consulting” and/or “company” where applicable.

“Intellectual property rights” are any and all copyrights, rights in inventions, patents, know-how, trade, secrets, trademarks and trade names, service marks, design rights, Database rights and rights in data, utility models, domain names, and similar rights.

“Service” includes Wondr’s event management platform, applications, technological tools, products, features, and offerings that are made available by Saber Consulting to its clients and/or attendees.

“Site” refers to www.wondrgrp.com (or any of our other websites, including various top-level domains as well as various subdomains and aliases of these domains)


1. In these terms of use:

(i) references in these terms of use to statutory provisions shall be construed as references to those provisions as respectively, replaced or amended, or re-enacted from time to time; and

(ii) Words importing the singular include the plural and vice versa, words importing agenda include every gender, and references to persons include body, corporate, or incorporated.

(iii) Headings are for convenience only and shall not be considered in the construction or interpretation of any of the provisions in these terms of use.

3. Acceptance of Terms

(i) By contracting with Saber Consulting for its Services, The attendee signifies their agreement to (1) these terms of use and (2) the privacy policy found at https://www.wondrgrp.com/privacy-policy incorporated herein by reference.


4. Description of Wondr

At Wondr, we specialize in crafting bespoke B2B events that inspire, engage, and drive results. Our tailored approach ensures that your event aligns perfectly with your business objectives, creating memorable experiences that resonate with your audience.

5. Use of Service

Saber Consulting hereby grants Partners permission to access the event and use the Service as set forth in these Terms of Use, subject to the following conditions;

i. Partners agree not to distribute in any medium any part of the Service without Saber Consulting's prior written authorisation, unless Saber Consulting makes available the means for such distribution through functionality offered by the Service, which includes but is not limited to:

a. Downloadable applications

b. Downloadable widgets

ii. Partners agree not to alter or modify any part of the Service. For the purposes of these Terms of Use, the following non-exhaustive list of actions, constitute alteration or modifications of the Service:

a.Addition, modification, or removal of any component of the Service

iii. Partners agree not to access the Service through any technology or means other than those authorized by Saber Consulting;

iv. Partners agree not to use the Service for any of the following commercial uses prior to Saber Consulting’s written approval being obtained:

a. the sale of access to any part of the Service;

b. the sale of advertising, sponsorship, or promotions placed on or within the Service

v. Partners agree not to modify, build upon, or block any portion or functionality of the Service. 

vi. Partners agree that in their use of the Service, all applicable laws will be complied with.


6. Prohibited Use

A. For the purposes of these Terms of Use, prohibited use includes, but is not limited to ("prohibited use"):

i. Sharing of accounts by partners, with any other person who is not the registered holder of said account. 

ii. the access and use of any account, by a person who is not a registered holder of that account, regardless of whether that person may be a holder of another account; and

iii. any violations of Clause 6 of these Terms of Use; and 

iv. Spamming and other malicious activity

v. the usage of the Service for any illegal and immoral purposes

B. In the event that partners detect or suspect that there is a breach of security and/or prohibited use of their accounts, the partner must notify Saber Consulting immediately.

C. Saber Consulting reserves the right to decide whether any Partner has violated these Terms of Use



7. Registration and Conclusion of Event/Subscription Period

A. To access the features of the Service, partners must create an account via registration. When registering, partners must provide accurate and complete information. Any omission of material information will entitle Saber Consulting to terminate the account.

B. Partners are solely responsible for the activity that occurs with respect to their account and must keep their account passwords secure. Saber Consulting will not be liable for any loss and/or damages that may arise out of, consequential or otherwise, the loss of accounts, passwords, or unauthorised use of accounts due to the partner’s actions.

C. Saber Consulting shall not be liable for losses caused to any client, attendee, or to any third party, by any unauthorised use of any account.

D. Partners may be liable for any loss incurred by Saber Consulting or others, where such loss arises from the Partner's actions and/or omissions.

E. Partners agree that Saber Consulting has the right to retain any information and/or data stored in the Service for a period of five years following the respective event, although partners are entitled to, at any time, expressly request for the deletion and/or purging of the said information and/or data by making such request to Saber Consulting at info@wondrgrp.com. This is subject to the partner not being in breach and/or defaulting on payment to Saber Consulting (where applicable). In such an event, Saber Consulting shall promptly delete and/or purge the said information and/or data.

F. Partners shall cease to have access to the Services including, but not limited to, the Wondr event management platform and/or applications thirty (30) days from the date of conclusion of the respective event and/or the subscription account period, whatever the case may be.


8. Considerations

A. Saber Consulting offers users with either Free or Paid Accounts. Paid Accounts shall be subject to monthly, quarterly, or yearly payment, via an online payment system operated by third parties. You hereby agree, acknowledge, and consent that the use of the online payment system is solely under your responsibility and risk.

B. You may notify Saber Consulting that you wish to terminate your subscription by contacting Saber Consulting. Any such notification in this regard should be given at least three (3) months prior to the intended date of termination.


9. Privacy Policy and Data Protection

A. Partners agree that by using this Service, they have read the Privacy Policy located at https://www.wondrgrp.com/privacy-policy, and are consenting to the data practices described therein.

B. Partners have the responsibility and agree to use the Services including, but not limited to, providing content to the Wondr event management platform and/or applications in accordance with the terms of the Privacy Policy and the relevant laws and/or privacy and/or data protection laws in force at the time including, but not limited to the Personal Data Protection Act 2014 and the European Union General Data Protection Regulation 2018.

C. Without limiting the foregoing, you represent and agree that you shall not include in Customer Data any Sensitive Personal Information. For such purpose,

“Sensitive Personal Information” means any information that: (a) must be protected in accordance with specific or heightened security requirements imposed by applicable law or industry standards; or (b) would require notification to government agencies, individuals, or law enforcement if subject to unauthorized access, use or disclosure. Examples of Sensitive Personal Information include without limitation government-issued identification numbers (such as driver's license numbers or Social Security numbers), financial account numbers, nonpublic personal information (as defined by the Financial Services Modernization Act of 1999 and applicable regulations), cardholder data (as defined by the PCI DSS), and protected health information (as defined by the Health Insurance Portability and Accountability Act of 1996 and applicable regulations).

D. Without limiting the foregoing, you represent and agree that: (a) you have all rights in the Attendees' Personal Data and organisation Data (including without limitation having provided all notices and received all consents and authorizations) required for the Parties to perform their respective obligations and exercise their respective rights in connection with this Agreement; and (b) you shall be solely responsible for ensuring that the use of Attendees Personal Data and organisation Data that Authorized Users post send or otherwise make available using the Service complies with the Acceptable Use Policy, all Applicable Laws, and any other legal or contractual restrictions relating to User Personal Data or Customer Data.

E. Subject to Saber Consulting Pte Ltd's compliance with the Privacy Policy, you are solely responsible for ensuring the security and confidentiality of all User Personal Data. Without limiting the foregoing, you shall use commercially reasonable efforts to prevent unauthorized access or use of the Service and shall contact Saber Consulting Pte Ltd promptly if: (a) User Personal Data related to the Service, or any associated password, is lost, stolen or disclosed to an unauthorized person; or (b) you reasonably believe the Service has otherwise been compromised.


10. Content

A. The Content on the Service, and the trademarks, service marks, and logos on the Service, are owned by or licensed to Saber Consulting, subject to other intellectual property rights under the law.

B. Content is provided to partners as is. Partners may access Content for their information and personal use solely as intended through the provided functionality of the Service and as permitted under these Terms of Use.

Partners agree that Saber Consulting has the right to retain any information and/or data stored in the Service for a period of five years following the respective event, although partners are entitled to, at any time, expressly request for the deletion and/or purging of the said information and/or data by making such request to Saber Consulting at info@wondrgrp.com. This is subject to the partner not being in breach and/or default of payment to Saber Consulting(where applicable). In such an event, Saber Consulting shall promptly delete and/or purge the said information and/or data.
